The first and most obvious factor to consider is the financial performance and position of the target. This includes reviewing the historical and projected income statements, balance sheets, cash flow statements, and key financial ratios of the target, as well as comparing them with industry benchmarks and peers. The financial analysis should also examine the quality and sustainability of the target's revenue streams, margins, growth rates, working capital, capital expenditures, debt, and profitability. The financial analysis should also identify any potential adjustments or red flags that may affect the valuation or deal structure, such as one-off items, accounting policies, contingent liabilities, or off-balance sheet items.

Both historical and forecasted financial information are critical. Financial information not presented nor prepared in accordance with recognised accounting standards and presentation, inevitably compromise the integrity and reliability of this information in the due diligence process. The underlying assumptions underpinning the forecast, also known as the financial model will be interrogated for consistency, accuracy and realistic/reasonability against the historical financial performance and growth drivers. This financial model should at a minimum, cover the proposed investment period for which the due diligence is conducted.

Checklists should not be considered as a "one size fit all". Care must be taken when providing checklist to ensure that the target understands that more support and additional items maybe requested during the due diligence process.
