The scope of services is the most critical section of an outsourcing agreement.Where I’ve seen Outsourcing agreements fall apart in delivery due to misaligned expectations. The secret sauce is assuring expectations are well established across all key stakeholders before signature during contract negotiation including starting OCM efforts at the time of partner selection.

As part of drafting any outsourcing agreement, it's important to ensure clarity on following: 1. The vendor will bring background IP as will the client. In both cases, clarity on ownership and licensing of this IP should be clear. Normally, ownership would be retained by each party but it may be cross-licensed. The continued beneficial use of vendor IP should be considered once contract ends. 2. Foreground IP created during relationship. Vendors will typically assume a license back so they can use the created IP with other clients. This needs to be considered very carefully. 3. Residual IP needs to be considered as vendor will gain knowledge through their activities with client that they may continue to leverage for their benefit.

The confidentiality and data protection section should outline how both parties will handle, store, and secure any confidential or sensitive information or data that is shared or generated during the outsourcing project.
