29 ans d'entrepreneuriat, je suis à ma 35 ème entreprises. Certaines ont été crée de Zéro, certaines sont des reprises et d'autres sont des participations. Aujourd'hui la reprise d'entreprise est devenu mon activité principal. La reprise c'est génial, mais c'est impossible de le faire si on a pas déjà crée des entreprise soit même et avoir vécu de la création à la revente ou à la faillite au moins une fois. L'expérience est un point crucial dans ce domaine. Car si on parle de risque, il diminue avec l'expérience et dans certains cas, disparait totalement.

Some initial steps would be determining the company's debts and obligations and past and pending lawsuits. What assets do they have, and are they a risk or benefit? Conduct an IP audit, do they have valid patents, trademarks, copyrights, trade secrets, etc? Is the chain of title regarding ownership of that IP clean or are they in dispute? If there is a dispute regarding the business's name, that can be a dealbreaker. Who are all the members, directors, stakeholders, and shareholders of the company, do they have any gripes? Are there any tax liabilities of the company? These are just a few.

L'argent n'est jamais un problème, vraiment. Il y a toujours un moyen d'en trouver. Pour cela , il faut savoir choisir les projet avec fort potentiel, savoir le mettre en image , déférer une équipe, établir une nouvelle stratégie qui va galvaniser les troupes et de futurs investisseurs. Si je rentre dans une entreprise c'est pour faire du CA, immédiatement, sinon ce n'est pas une entreprise c'est un gouffre. Des fois il n'y a pas besoin d'argent, juste de la créativité , des bonnes méthodes commercial, une excellente communication, une force de vente et un leader. J'investi régulièrement avec mes associés dans des entreprises et la question de CA, n'est pas un sujet. Sinon ce n'est pas une vraie entreprise, c'est juste un projet risqué.

Il n y' a rien de plus gratifiant que de crée depuis zéro. Mais avec le temps , on se rend compte, que toute les entreprises se ressemblent ainsi que les étapes de développement. Une fois qu'on a joué la même parti plusieurs fois, on en a marre de recommencer à zéro. Racheter une entreprise c'est comme de la triche. On commence la parti au niveau 8 au lieu du niveau 0. Mais attention, les règles du jeux changent a chaque niveau. Vaut mieux commencer aux niveaux qu'on maitrise dont on a déjà joué et gagné.

Peu importe l'entreprise il y a trois choses à maitriser. Le marché, le client et le produit. Je n'investi pas dans des entreprises dont je ne connais pas le marché, ni dans celle dont je ne connais pas la clientèle. Si je connais le marché et le client , le produit j'apprendrais vite à le connaitre. Mais l'inverse ne marche pas.

Peut importe l'investissement, la stratégie de sortie, c'est la première chose à laquelle je penses. Si ne je vois pas de sortie potentiel dés la première seconde, je n'y vais pas du tout. Trop risqué.
