How do you choose vendors for contract audits and reviews?

I suggest from the vendor pool, identify those who have been on the panel for maybe at least 3 years. Best to start with regular vendors as complacency may set in and the Client gets taken for granted, especially in terms of pricing. Next, scan the marketplace for better/cost effective solutions without compromising on specifications. You can use this as a bargaining chip with the incumbent. Result could be a win win situation - the Client may enjoy better rates and the vendor could (for a small reduction in margins) enjoy a longer term business revenue. Of course, other than commercial factors alone, other criteria in the review can also include quality reviews, technical know how, innovativeness, financials, warranty support, etc.

A. Technical and Financial Capabilities of vendor to fulfill requirement B. Experience and innovations in the required domain C. Motivation and Experience of delivery team. D. Quality/Standards of the product/Services. E. Compliance score and through understanding of it. G. Cost competitive at the end.

Agree on a standard and a method for review. Bring individual contract owners and involve them from the beginning. Determine which elements of the contract will be reviewed by the audit. Consider the experience of the firm and request references (call them). Request Bio’s, credentials, and references of the vendor’s staff. Have your ISO review document transfer systems before engaging. Request a Due Diligence Package. If a package is not available for a firm request: Business License, SOC 2, Terms of Use, Privacy policy and COI (E & O, and Cyber). Verify CPA licensing and for attorney's use the Martindale Hubbell rating system. Select a primary point of contact, determine when the audit begins, ends, and schedule an exit meeting.

Now, as we have identified the objective we will go for vendor shortlisting like: 1. Contract audit- we should make a comparative analysis based on terms and conditions. 2. Process audit- We should go for OTIF analysis ( On Time In Full). 3. Fraud audit- We should have comparative table highlighting the gaps and its criticality before starting the audit.

Apart from onsite & desktop audits, I would sample orders, recent audit findings, management meeting follow-ups, and KPI reviews as some of the items. I would like to identify key staff and chat with them during the visit. I would also ask about their recent operational challenges. If they mention that they have no problems, this could be a red flag for me. Inspect what you expect and we can only manage what we can measure. Accountability & traceability are non-negotiable. I would ask them how they intend to meet or expect my expectations with an action plan and hold them to this with regular meeting, audit & training.
