While NDAs are a great tool, 100% protection is not really achievable. Once data is out, it's not like it can be truly recalled. You can't force someone not to remember what they have seen, heard or read. Be careful to use secure means of communications and keep a clear list of who can access the data and for how long. I've found that it's very helpful to also limit who can not only see the data, but whether or not they can download it for their own use.

In my experience NDA's, data rooms with high functionality and all the usual tools are both essential and great. However, the reality is treat it like any other media. When it is out there you no longer have control over who sees it and you should assume it is more widely available than your NDA would suggest. If there is a business critical piece of information share it on a one to one basis with a key named person referencing the NDA and his/her obligations. I

To be fair, my experience is only in Biotech & Medtech so it may differ by industries. Bottomline, this is a risk management issue. How much efforts & ressources do you devote to the protection for what associated risk. Even if you put a "Secret Defense" type of protection in place, if a VC wants to hack your data, it will... So just make sure you do not overkill protection. It comes with a cost and start ups are low on financial ressources. At the end of the day, this also relates to the VC ethics. Maybe you can look after the reputation of the investor, do they have direct competition in their portfolio, ... Do not forget to do your own DD on investors!! It is as important as data protection.

Trust - Finally even after all checks and balances you can never be sure of the intentions on the other side. Share information that you are ok to entrust with others and keep sensitive information sharing towards second or third rounds of diligence
