Most of the mistakes I see that prepare for transition takes place after the deal. Actually it should be ahead of any exit, I mean at least a year. One key point I would share is what kind of exit you are looking for. If it is PE based vs going public vs acquired by a public company all will be different. For a PE firm acquisition, I would suggest reorg for the structurally most efficient way and showcase the value stream clearly to the buyer. Since all these changes will be done under current leadership you have a higher chance of change buy-in than hard transition.

I’d challenge this… ?? For most of the team it needs to remain business as usual (BAU). Due diligence (DD) needs to consume the minimum number of the team. Only involve the minimum people essential at the relevant parts of DD. Any distraction from BAU risks the day-to-day. It is sadly not uncommon for business performance to suffer during a sale process (distracted by DD) and can risk the valuation - a last minute negotiation based on performance - or risk the overall deal. To involve the team too early maximises the risk of this distraction and also risks negative impacts if a deal doesn’t complete; any many don’t, Remember. It is Your business. You decide who to involve in DD and at which point (not the acquirer / investor).

Whereas it is not uncommon for teams to be flexible and to ‘duck and dive’ as you grow as you approach Exit the need for clarity increases. For a potential acquirer they want to understand the team responsibilities, reporting lines and KPI in order to assess the ‘fit’ and value. If it is ‘grey’ then it raises questions about where else in the business could also lack clarity. Not good! It is also essential for your team. It is human nature to resist or to be fearful of change and role clarity is one essential building block to help the team anchor their position and frame any discussions on where that role fits post acquisition.
