What documents are essential to review during a vendor contract audit?

Vendor must be given sufficient time to go through the contract and to check there must be a set of questionnaire to confirm whether vendor has done so or not. In addition to this , very openly past observations of other vendors must be shared with a new prospective vendors this will save time for all.

Apart from the standard documents which are generally used for a vendor audit, I prefer to have my own term sheet with the T&Cs in order of priority and categorized and a nomenclature to rate the findings. It may vary depending on the situation and the type of contract.

There should not be any open point in contract. Liabilities should be well drafted. Contract should be verified by legal, finance, and risk management team before final signing.

This will not help as I am of an opinion that performance of a vendor is very much dependent on clients timely reaction and ways to get the desired.

This is must , it shows true character of vendor. Any laxity on this means there is always a high chance of being off target. It is like signature .

This may be misleading and it depends more on face of a vendor , who is dealing with a particular client. Overall performance becomes secondary.

I agree, and would add that during a contract review, it’s important to validate if there’ve been any material changes to the scope of services since the last review period, which would prompt the need for additional due diligence, control measures, or risk mitigants.

Recommended to measure the improvement plans with timescales agreed for mini milestones & asess the results for adaptability & scalability Or make necessary corrections & weigh how it will impact the final outcome in meeting delivery commitment.

All the above statements are significant when it comes to review of Vendor Contracts. From my experience in auditing such contracts over the years, I wish to add a couple of points in addition to all the above points.The first and foremost is the exit clause. Any vendor engagement should have a clear exit clause that is agreed by both parties, the absence of which could result in disputes. The second aspect that auditors are cautious about is the clause related to auto renewals. The contracts should have clear terms and conditipns for auto renewal, else the parties could end up in legal battles.

While the majority of vendors are good there will be bad actors about who are involved in money laundering and/or human trafficking, who could impact others indirectly so I would want to 1) Review of the third-party's risk and financial history. 2) Analysis of vendor's transactions. 3) Interviews with third-party vendors/ sub contractors 4) Vendor questionnaires which include a traceability matrix for the goods/services being provided. And I wouldn’t leave it until an audit I would add in continuous monitoring at regular intervals throughout the contract cycle. Be prepared to end a contract if the information is not satisfactory or forthcoming.

I agree with Biju. Among all other important considerations that are listed,.. ..Here are my 2 cents to additionally consider - 1. Defining and agreeing on the clauses in respect of non-performance clearly articulating performance and product guarantee, security deposits, fee at risk or penalties. 2. Another important aspect could be a provision of rewarding a performance exceeding the expectations or suitably recognizing the innovations suggested or executed by the vendor during contract duration. 3. A very clear responsibility matrix can also be a good idea to avoid disputes around the covenants of the parties signing the contract.
