What do you do if your negotiation partner changes their terms?

When facing changed terms in a negotiation, stay calm and seek to understand the reasons behind the shift. Communicate your concerns and attempt to negotiate a compromise that respects both parties' needs. However, be prepared to walk away if the new terms compromise your core values or goals. The essence of your strategy should involve clear communication, flexibility, and a firm understanding of your priorities.

If you are working in contract negotiations, you must expect such setbacks. The natural reaction to such changes in negotiated terms can be frustration, however, you can not let the emotional take over and ruin the process you have made in the negotiations and eventually may cause you the project. Thus, staying calm in such situations is paramount. Once the changes have been in the negotiated terms by the other party, all you should do is to assess those changes and how it affect the overall previous arrangements. If the modifications add risks to initial position, you may negotiate on those terms to find a balance or add some cover for these risk in line with your business model and policies and intially conceived objective are met.

Remaining composed and avoiding emotional reactions is crucial. Changes in terms might not necessarily be negative but could stem from genuine challenges.

Assess how the new terms affect your interests. Determine if they are acceptable, partially acceptable, or completely unacceptable.

I will prefer to find out the perspective of other party that whether the changing terms are consistent and align with the transaction or otherwise. Obviously, inconsistent terms wouldn't be helpful for any party to reach at a successful and workable deal. It may also cause delays to lock the transaction as well.

If terms are changed then it requires a serious examining of mutual synergies and alignments for mutual value creation. If it is still possible then it can be further explored for discussion around tighter covenants of not changing terms at last moments and motivating the concerned parties to be focused on a larger picture of mutual growth and expansion and not be short-sighted. However, if it is a repeated violation then its most likely the other party wants to exploit the opportunity for unbalanced gains. In such situations further round of discussions can be pursued through arbitration. Negotiations require a positive mindset of making it through while being ready to peacefully walk away from it, if needed. Avoid burning bridges.

Before we negotiate, we should first do our homework. We should understand well about our leverages that we have on other party and benchmarking must be done prior to negotiation. We should also have alternative solutions in case negotiation does not work out. If we are well prepared, we should be able to counter propose on their new terms. Effective communication also play a crucial role in navigating the twisted paths in negotiating new terms.
