How do you update contracts to reflect changes?

Please keep in mind that if your organization is providing the contract, the client/prospect might not know what is possible and how flexible you can be on certain sections of the agreement. I would recommend having an internal prep call to review the contract so that as a representative you can provide guidelines and properly set expectations for what is possible. This will save everyone a lot of time in the negotiation phase and also help the client focus on the terms you can be flexible/creative on.

I think it is important to ensure all the necessary groups are involved in any discussions to modify an agreement or a statement of work. I also think it is important to consider why the terms are what they are and what tradeoffs may be needed to get new terms in place. Documenting your approach and reasons for the requested changes can go a long way in gaining/ensuring alignment with the internal team.

It's important that all stakeholders understand why any proposed changes are necessary. No doubt there could be positive and negative implications for either party, trade-off's may be needed to balance the impacts. The potential impact across the wider contract should also be fully considered, what seems like a minor change could have ramifications on other more significant elements of the contract.

I recommend that when you are looking to make a change you review the agreement to understand how changes to the agreement/SOW can be made and then to have a call/meeting with the correct POCs within the supplier's organization. Also it is important to note that in most cases you can not unilaterally change an agreement. Both parties must agree to amend the agreed upon terms.

Having a formal process that tracks all changes and confirms receipt and acceptance is essential. This should capture feedback & counter offers as mentioned. This document should detail the change, implications, who this impacts so that appropriate steps are actioned that may need to be amended as part of the wider processes.

Some agreements may have multiple amendments so when drafting a new one all the previous amendments need to be considered. In some cases it is easier to replace complete sections of agreements with a new amendment so that all parties are aligned on the agreed upon change.

Following the style of the original contract is essential, as is clear, accurate detail, avoid ambiguity at all cost. Formal management is critical, date, time, persons, issued, received etc. Have one central person/function that is clear and familiar with the process to handle this, once wider input is included.

Most amendments have language that reference the original contract or master service agreement. I would strongly recommend including the original documents when sending the amendment to make it easy for the other party to reference.
