J’ai pu constater que souvent les contrats de collaboration de recherche en bioingenierie étaient rédigés par des juristes et des avocats en droit des affaires mais que les notions scientifiques n’étaient pas bien traitées notamment les définitions, ce qui est la propriété de quelle partie, quelle partie peut exploiter quoi. Il en résulte des fragilités dans les contrats qui peuvent faire peser un risque sur votre entreprise plus tard Je conseille toujours à minima que le juriste ou l’avocat soit assisté d’un conseil en propriété industrielle (patent attorney) spécialisé dans les bioingenieries (ingénieur ou docteur en bio)

En tant que conseil PI en bioingenierie, je recommande de respecter la signature de 3 contrats successifs pour sécuriser une collaboration de recherche : - au premier contact, contrat de confidentialité. Même si on ne poursuit pas la collaboration nos infos sont protégées - on souhaite collaborer ? contrat de collaboration de recherche. On va indiquer qui amène quoi (finances, savoir faire, matériel…). Si on ne sait pas encore ce qu’on fera des résultats, on prévoit une clause de RV. - on a trouvé des résultats intéressants ? contrat de copropriété qui va régir qui exploite l’invention, gère le brevet… Un avocat peut se charger du NDA mais je conseille un CPI spécialisé en bioingenierie pour le reste car il y a des spécificités !

Régulièrement quand je travaille sur un contrat de collaboration de recherche, je constate qu’une clause est mal gérée : ces sont les connaissances propres. Chaque partie amène ses connaissances propres à la collaboration, pour créer ensuite des résultats communs. Ces connaissances propres sont souvent listées en annexe du contrat. Et là attention au risque de la liste à la prevert ! J’ai lu des généralités “connaissances du champignon X” “Financement de projet R&D”… On veut voir dans cette liste les connaissances PROPRES pour faire de la R&D : - les brevets, pas ce qui est dans le domaine public (pas les articles scientifiques en licence CCby) -Le savoir faire, explicité dans un document et horodaté (enveloppe soleau par exemple).

Un client m’a dit un jour “peu importe le temps qu’on va passer à négocier les clauses de ce contrat, je ne perdrais pas mon temps et mon argent à faire un procès si il y a un problème”. C’est une position qu’on retrouve souvent et je recommande de passer du temps avant la signature du contrat puis régulièrement après à communiquer avec son partenaire : petit point d’étape, célébrer les réussites et milestones du projet. et surtout en cas de tensions On évite les mails accusateurs “contrairement à ce qui avait été convenu…” “nous constatons que malgré nos relances vous n’avez pas respecté le délai…” . à la place on prévoit une réunion, et on demande à son partenaire si tout va bien…! Et si nécessaire on avance avec un médiateur.

J’ai decouvert récemment de nouveaux moyens de résoudre les conflits entre partenaires de collaboration de recherche : inclure dès la rédaction du contrat de collaboration une clause vous obligeant à essayer une médiation et/ou un arbitrage qui aura valeur de jugement avant d’attaquer au tribunal. Bien souvent un tierce personne comme un médiateur ou un arbitre va permettre de désamorcer une situation qui s’est envenimée. Si une des parties est clairement de mauvaise foi, le médiateur ou l’arbitre lui rappellera la loi, les termes du contrat et les risques à rester buté sur sa position. Quand ?a vient d’une tierce personne c’est plus facilement entendable !
