Analyze the opportunities for learning, development and advancement in each company to see how they match your career goals. Lastly, assess how stable and secure each company and industry are and what are the chances of layoffs or reorganizations that could affect your job.

If you negotiate with your current employer after receiving a job offer from another company, you need to be careful if there is a chance that you will stay with the current employer. Don't forget non-salary benefits: Before you crumple your offer letter into a ball, look beyond the salary. Perhaps you get other benefits and perks (such as tuition reimbursement, the ability to work from home a week each month, etc.) that make up for the lower salary. Research the appropriate salary range for the position, given the job title, location, job requirements, and necessary skills. 2. Be enthusiastic: Before asking for higher pay or better benefits, be sure to thank your prospective employer for the offer and express your excitement about the position. 3. Provide data: Also, you should be prepared to defend your request with reasons as to why you deserve increased compensation. Make your case based on data and remember to focus on how you can solve their problems. 4. Stay calm. Even if you're insulted by a low offer, calmly explain why you’re making a counteroffer.
