How do you enforce influencer marketing contracts?

For EU jurisdictions, it is likely that your local media regulator will ask you to make sure the influencers you engage with comply with regulations, such as for transparency. This is the case for using influencers in The Netherlands for example. This includes you sanctioning the influencer when they don't, for example with a contractual fine, or terminating the relationship. With a written contract, in addition to setting expecations, this is much less of a headache.

There are so many reasons why you need a contract. - This is a financial relationship, so you need to protect all parties included - Sets clear expectations for brand and creator. There will be no confusion on budget, payment, usage, etc. - There will be situations where someone does not do their part so you need to be able to get out of the contract cleanly and it needs to be clear what happens with payment if that does occur - Protects the brand from the creator speaking poorly about them - Protects a creator if their content doesn't do well, the brand still needs to pay Brands and creators should aim for the contract to protect all parties and not look to make it too brand centric or vice versa.

In my experience and opinion - Influencer marketing is growing at a thriving rate and so are the emerging number of influencers. Influencer marketing is expensive for brands and working on verbal commitments or trust factors might not be the best policy to work. A contract must be in place before transferring advance payments to any influencer or locking a deal clearly mentioning the brief of the project, deliverables, deadlines and payment terms, digital rights, number of rectifications that can be done, and other terms and conditions as necessary. A contract helps to avoid any disputes ahead and also safeguards your advance payments - plus there is also a scope of escalating the matter to legal departments in case of dead-end situations.

Ensure that the influencer marketing contract is well-drafted and contains clear and detailed terms outlining the responsibilities, deliverables, payment terms, timelines, and any other relevant clauses.

For made a valid a contract, first have to be a mutual agreement in all the clauses of the document, from all the people that have to signed or are involved in. There is an excepción, created by the law, only for contracts that are agree automatic by the acceptation of the service or product involved in it. The agreement or contract clauses need to be previously accepted, but can be totally free made, by only respecting an equal and equivalent rights and observation of the necessary clauses in each type of document. On the other hand, the automatic, need to have previously approbation of the law and the corresponded authority. Obviously both types, need to be concise and clear for the agreement involved and their specific objectives.

I would suggest having a standard template of the contract keeping in mind the mandatory clause and tweaking it on a need basis depending on the project you are working on. Do not forget to modify the deliverables, deadlines, and payment terms whenever you are using a standard template for everyone.

You can't negotiate with an influencer unless you be respectful and reasonable, and value their work. First - introduce your brand and its goals to the influencer, and explain to them how endorsing this brand will be beneficial for them too. First, listen to all the details from the influencers and then put forward your proposal like negotiating on the costing, deliverables, digital rights, etc. Don't preassume anything as there is no right or wrong here - the brand can ask for the moon as deliverables with minimal cost from the influencer and similarly, the influencer can also charge a bomb for a simple project. As a negotiator, your job is to come to a middle ground for both parties and lock the deal. Be flexible and don't be sarcastic
