One of the most critical things that i have learned with integration budget allocation is taking out the bias. What works for your organization may not essentially work for the organization getting integrated. Its important to understand the nuts and bolts of the process and systems while onboarding the people with trust from the integrated organization. Objective risk based allocation with reserves that will go to "what may go wrong" has proven to be a better way to do budget allocations.

In my experience with Data Display Systems and MetWeld, we used a ranking system to determine budget allocation. For Data Display Systems, the primary priority was consolidating Asian suppliers, which required substantial investment in supply chain integration and vendor management. Conversely, at MetWeld, the emphasis was on integrating departments and manufacturing processes, necessitating a larger allocation towards operational alignment and process optimization. Imagine two tech companies merging. The integration workstreams include IT, HR, and marketing. After estimating costs and benefits, IT emerges as the highest priority due to its role in operational continuity. HR is allocated fewer resources, as existing policies align well. Marketing gets mid-level funding to unify brand messaging. As integration progresses, unexpected IT issues arise, requiring a budget shift from HR to IT to ensure seamless systems integration, optimizing the overall merger success.

A critical question. Can you prioritize and select? What if your prioritization leads to a very low rank of HR activities as other activities come together with huge expected returns (savings)? Can you leave HR (or any other department) out of the integration game? Only because the budget is limited and a discounted synergy effect is much lower than that of the other workstreams or tasks? Please, don’t do that. After 20 years of Post Merger Integration, I can tell you, you must include all parts of the organization into the integration game. Alle employees need to take part. Everybody needs to have a chance to experience “the others”, to cross the former borders between the organizations. You need to come together to grow together.

As in any (major) project, you should monitor and control the budget. This shouldn’t be special to acquisition integration projects. Nevertheless, time to complete (or tasks to complete) and cost to complete are good indicators in most situations. We usually do it very simple and compare the number of tasks complete by a specific date compared to the number of tasks which were planned to be done by that date. And you can do the same with time as well as money spent. But don’t rely on this basic KPIs. In any of our review sessions we focus on content rather than checkboxes. What is the outcome of the complete tasks? Is this what we intended to achieve? Could it be different? Could it be more? Should it be less? This will bring you forward!

In the lower middle market, following best practices and tips for budget allocation is often overlooked due to smaller acquisition sizes and teams inexperienced in integration. This was true in my experience at MetWeld and Data Display Systems. Initially, during our first MetWeld acquisition, we missed involving the right stakeholders and aligning the budget with our integration strategy. However, we learned from this and applied those lessons to subsequent acquisitions. For our later MetWeld integrations and DDS’s acquisition of DUCO, we ensured comprehensive involvement of key team members and a realistic, flexible budget, which significantly improved our integration outcomes.

Always prepare for the unexpected. What does that mean? You need to have a buffer. Picture this, you are in the middle of a heart surgery. On the first half of the course everything happens as expected, you can follow standard procedures. Then something unexpected happens. Most likely you are not going to stop, “Hey we are out of plan and budget, sorry!” Within a Post Merger Integration you are taking the former inner structure of two organizations apart. You are losing integral functionality of the organizational systems. You can’t stop at the crossroads of the unexpected. I’ve personally been in a process where some months down the road they found out that the integration would need another 500 million.

Involving key players in budget discussions ensures alignment and accountability. Stay flexible and learn from past integrations to navigate challenges better.

Budget needs to be agile, and re-adjusted once “unknown-unknowns” are discovered (every integration has some. Properties on the areas that would yield fastest returns on planned synergies, all others can be ran “as is” . Once you start seeing synergies in some areas, you may shift towards areas of other priorities. Typically, having synergies unlockes extra $$ in the budget as well.

When allocating your integration budget, it's essential to include funding for a Cultural Audit both before the acquisition and a year after integration. Time is key. But how long does a Post Merger Integration take? For sure, this always depends on the objectives you want to realize within the Integration. But what about the effort? The longer it takes, the bigger the effort. Before you achieve a new normal in the new organization, you have disturbance and inefficiencies in both old organizations: in the target as well as in the acquirer. It’s good that “real” cost are in many cases included into the acquisition budget. But people, those who have to complete the effort, are seldom taken into account. Employees have anyways to cover the additional inefficiencies which come along with the acquisition. The Integration effort needs to be considered in order to lead it to success.

How much is the fish? How to assess the budget? Can there be a rule of thumb? Interesting question that I often asked myself. Effort depends on the objectives. So the natural way would be to grasp a multiple on the (expected) synergies. I’ve seen calculations with multiples varying between 1 and 1.5 on the synergies. On the other hand, as Post Merger Integration is basically about the people. Remember our PMI principle “You need to come together to grow together.” Wouldn’t it make sense to use a multiple on the number of employees? As both organizations are part of the process, it should be the total number of employees of both organizations. The multiple could be $40k/employee. I’m curious to hear about your experiences.
